Terms of Service

These Terms of Service ("Terms", "Agreement") are a binding contract between you ("User", "You", "Your") and MCP360, a product of Delta4 Infotech Private Limited. as ("Company", "We", "Us", "Our").

These Terms govern your access to and use of the MCP360 platform, including all related tools, APIs, integrations, and services (collectively, the "Service").

BY USING THE SERVICE, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, YOU MUST STOP USING THE SERVICE IMMEDIATELY.

1. Definitions

  • Account means the registered profile used to access the Service.
  • Authorized User means anyone permitted by You to use the Service under Your Account.
  • Confidential Information means all non-public information shared between the parties, including technical, business, or proprietary information.
  • Content means any data, text, or material uploaded, submitted, or transmitted through the Service.
  • Company refers to Delta4 Infotech Private Limited., operating as MCP360.
  • Device means any computer, tablet, or mobile device used to access the Service.
  • Documentation means guides or materials provided by the Company related to the Service.
  • Intellectual Property Rights means all rights in patents, copyrights, trademarks, trade secrets, and similar proprietary rights.
  • Service means the MCP360 platform available at https://mcp360.ai, including all features, APIs, and integrations.
  • User Data means all data and content submitted or processed through the Service by You or on Your behalf.

2. Use of Service

2.1 Access and Modifications

  • The Service provides access to digital tools and integrations for various usecases.
  • We may modify, suspend, or discontinue any part of the Service at any time without prior notice.
  • We are not liable for any such actions.

2.2 Beta or Experimental Features

Beta or experimental features are provided "AS IS", may be modified or removed at any time, and are used entirely at Your own risk.

3. Account and Security

3.1 Registration

  • You must create an Account with accurate and complete information and keep it updated.
  • You are responsible for maintaining Account security and confidentiality.

3.2 Responsibility

  • You are solely responsible for all actions under Your Account, whether by You or anyone else.

3.3 Authorized Users

If You allow others to use the Service under Your Account, You remain responsible for their actions and compliance with these Terms.

5. Intellectual Property

  • You receive no ownership rights.

5.2 License

Subject to these Terms, You are granted a limited, non-exclusive, revocable license to use the Service for lawful internal purposes.

You may not:

  • Sell, rent, or sublicense access to others.
  • Remove or obscure proprietary notices.

5.3 User Data

  • You own Your User Data.
  • By submitting it, You grant the Company a worldwide, royalty-free license to use, store, and process it to operate, improve, and secure the Service.
  • We may use aggregated, anonymized data for analytics and improvement.

5.4 Feedback

If You provide feedback or suggestions, We may use them freely without any obligation or payment to You.

6. Payment and Refund Policy

6.1 Fees

  • All fees are payable in advance through approved payment methods.
  • Prices are shown in USD or other applicable currency and exclude taxes.
  • You authorize Us to charge Your payment method for all fees.

6.2 Renewals and Changes

  • Plans renew automatically unless cancelled before the renewal date.
  • We may update fees or plans with notice posted on Our website or sent by email.

6.3 Refunds

All fees are non-refundable under all circumstances, including partial use, termination, or suspension.

7. Data Protection and Security

7.1 Privacy

  • Use of the Service is governed by Our Privacy Policy available at https://mcp360.ai/privacy.
  • By using the Service, You consent to Our data practices.

7.2 Security

  • We maintain reasonable technical and organizational measures to protect data but do not guarantee absolute security.
  • You are responsible for maintaining secure backups and access controls.

7.3 Data Deletion

Upon termination, We may delete or anonymize User Data within 90 days except where retention is required by law or for aggregated analytics.

8. Suspension and Termination

8.1 By You

  • You may cancel Your Account at any time.
  • Cancellation takes effect at the end of the current billing cycle.
  • No refunds are provided.

8.2 By the Company

We may suspend or terminate Your Account without notice if:

  • You breach these Terms or engage in prohibited use.
  • Payment is overdue.
  • Required by law or for security reasons.
  • Your actions harm the Company's business or reputation.

Upon termination, all rights granted to You end immediately, and We may delete Your Account and data.

9. Disclaimer of Warranties

  • The Service is provided "AS IS" and "AS AVAILABLE."
  • We make no warranties, express or implied, including fitness for a particular purpose, merchantability, accuracy, or uninterrupted availability.
  • We do not warrant that the Service will be error-free or that third-party integrations will remain available.

10. Limitation of Liability

To the fullest extent allowed by law:

  • We are not liable for any indirect, incidental, or consequential damages including loss of profits, data, or goodwill.
  • Our total cumulative liability for all claims will not exceed the amount paid by You in the 12 months before the event giving rise to the claim, or INR 50,000, whichever is lower.
  • These limits apply even if We have been advised of possible damages.

11. Confidentiality

  • Both parties must keep non-public information received under these Terms confidential and use it only as necessary to perform obligations under the Agreement.
  • This obligation does not apply to information already public, rightfully received from others, or required by law to be disclosed.

12. Modifications

  • We may update these Terms at any time by posting a revised version on Our website or notifying You by email.
  • Continued use after the effective date means You accept the updated Terms.

13. Force Majeure

We are not liable for failure or delay in performance due to events beyond reasonable control, including natural disasters, war, cyberattacks, or system failures of third-party services.

14. Legal Provisions

14.1 Entire Agreement

These Terms and any policies referenced herein form the entire agreement between You and the Company.

14.2 Severability

If any part of these Terms is held invalid, the rest remain enforceable.

14.3 No Waiver

Failure to enforce any right does not constitute a waiver of that right.

14.4 Assignment

  • You may not assign or transfer these Terms.
  • The Company may assign them to any affiliate, successor, or acquirer.

14.5 Injunctive Relief

  • Breach of obligations related to prohibited use, intellectual property, or confidentiality may cause irreparable harm.
  • The Company may seek immediate injunctive relief in such cases.

14.6 Costs

If any action arises to enforce these Terms, the prevailing party may recover reasonable legal costs.
